General Terms and Conditions of Sale
Terms applicable to Skyfall Protection cybersecurity protection services.

Article 2 - Purpose and Scope
The purpose of these General Terms and Conditions of Sale (hereinafter "GTC") is to define the rights and obligations of the company SAS VADOR (trade name: Skyfall Protection), hereinafter "the Seller", and its customers (hereinafter "the Customer") in connection with the sale of and subscription to cybersecurity services provided through "The SKYFALL BOX" (hereinafter "the BOX").
They apply without restriction or reservation to all sales and services offered on the Seller's website. Any order implies unreserved acceptance of these GTC.
Article 3 - Definitions
- SKYFALL BOX: Patented DPI (Deep Packet Inspection) device enabling the provision of cybersecurity services.
- Subscription: Contract entered into between the Seller and the Customer for the provision of the SKYFALL BOX and associated services.
- Setup fees: One-time fee of €99 excl. VAT for initial activation.
- Best-efforts obligation: The Seller undertakes to implement all reasonable means to provide the service.
Article 4 - Prices and Payment Terms
4.1 Pricing transparency
IMPORTANT: Prices change after the first year. The Customer is expressly informed of this pricing change at the time of subscription. A reminder will be sent two (2) months before the new price takes effect.
4.2 Pricing schedule
PLANS WITH COMMITMENT (12 months minimum):

- Plans without commitment: surcharge of €20 excl. VAT/month on all first-year prices.
- Over 150 users: custom offer.
- Setup fees: €99 excl. VAT (all plans).
- 4.3 Pricing changes and right to terminate
- The Customer is informed that the applicable price changes after the first year according to the schedule above. This change will be communicated to the Customer in writing two (2) months before it takes effect. In the event of disagreement with this pricing change, the Customer may terminate their subscription without penalty before the date the new price takes effect, by registered letter with acknowledgment of receipt.
Article 5 - Duration and Termination
5.1 Duration
- Plans with commitment: minimum duration of 12 months, automatic renewal
- Plans without commitment: indefinite duration
5.2 Termination at expiry
For plans with commitment, termination must be notified in writing with two (2) months' notice before the anniversary date.
5.3 Early termination
Professional customers: In the event of early termination of a plan with commitment, the Customer shall be liable for compensation equal to 30% of the remaining monthly payments, capped at three (3) months of subscription.
Consumer customers: Termination without penalty in the event of a legitimate reason duly justified (relocation outside the coverage area, death, unemployment, over-indebtedness, upon presentation of supporting documents).
Article 6 - Obligations and Liability
6.1 Best-efforts obligation
The Seller undertakes to implement all necessary technical and human resources to ensure the optimal operation of the service, under a best-efforts obligation.
6.2 Limitation of liability
The Seller shall not be held liable for indirect damages. Its liability for direct damages is limited to the amounts paid by the Customer over the last 12 months, except in the event of gross negligence or wilful misconduct.
Article 7 - Legal Guarantees (Consumers)
The consumer Customer benefits from:
- The legal guarantee of conformity (Articles L.217-4 et seq. of the Consumer Code)
- The guarantee against hidden defects (Articles 1641 et seq. of the Civil Code)
These guarantees apply without prejudice to the 14-day right of withdrawal.
Article 8 - Personal Data Protection
In accordance with the GDPR and the French Data Protection Act (Loi Informatique et Libertés), the Customer has the right to access, rectify, erase, restrict, port and object to the processing of their personal data.

Article 9 - Intellectual Property
The SKYFALL BOX remains the exclusive property of SAS VADOR. The Customer has a right of use limited to the duration of the subscription. The BOX is protected by French, European and international patents. In the event of termination, the Customer undertakes to return the BOX within 30 days. Return shipping costs may be covered by the Seller upon request.
Article 10 - Mediation and Dispute Resolution
In the event of a dispute, the consumer Customer may use the mediation service free of charge:

Article 11 - Security Incident Notification
In accordance with applicable regulations (NIS2 Directive), the Seller undertakes to notify the Customer of any significant security incident as soon as possible. The Customer undertakes to cooperate in the event of an incident and to provide the necessary information.
Article 12 - Force Majeure
Neither party shall be held liable for the non-performance of its obligations in the event of force majeure, as defined in Article 1218 of the Civil Code.
Article 13 - Final Provisions
13.1 Amendment of the GTC
The Seller reserves the right to amend these GTC. The new GTC shall apply to contracts entered into after they are published online.
13.2 Partial invalidity
If any clause of these GTC is declared null and void, the remaining clauses shall remain applicable.
13.3 Governing law
These GTC are governed by French law. Any dispute shall fall within the jurisdiction of the French courts.
13.4 Record keeping and evidence
The Seller retains electronic contracts. In the event of a dispute, the data retained by the Seller shall prevail.
